Explanation of Responses:
(1)	The initial conversion rate of the 4.50% Convertible Senior Notes due 2026 (the "Notes") is 259.8753 shares of common stock per $1,000 principal amount of Notes (which is equivalent to an initial conversion price of approximately $3.85 per share), subject to adjustment pursuant to the terms of the Notes.
(2)	The Notes will be convertible at the option of the reporting persons at any time prior to the close of business on the business day immediately preceding the maturity date of the Notes. The Notes will be convertible into cash, shares of the issuer's common stock, or a combination thereof, at the issuer's election
(3)	The Notes are held by Nant Capital LLC ("Nant Capital"). California Capital Equity, LLC ("CalCap") directly owns all of the equity interests of Nant Capital, LLC and CalCap may be deemed to have beneficial ownership of the shares held by Nant Capital. Patrick Soon-Shiong directly owns all of the equity interests of CalCap and has voting and dispositive power over the shares held by CalCap.
